Acceptance of Terms:
Welcome to Black Wealth Events. By accessing our website or registering/attending our events, you (“User” or “you”) agree to comply with and be bound by these Terms of Use & Service (“Terms”). These Terms constitute a legally binding agreement between you and Black Wealth Events (“Company,” “we,” or “us”). If you do not agree to any part of these Terms, please do not use our website or services. We also encourage you to review our Privacy Policy (which describes how we handle your data) and other policies referenced in these Terms.

1. Use of the Website and Services

Eligibility: You must be at least 18 years old (or the age of majority in your jurisdiction) to register for or attend our professional events. By using our site or services, you represent that you meet this eligibility requirement. Individuals under 18 may only participate in our events or use our site with involvement of a parent or legal guardian (and our events are generally geared toward adult professionals). We reserve the right to refuse service, registration, or access to any person at our discretion, especially if these Terms are violated.

Account Creation: Some features (such as event registration or networking platforms) may require creating an account or profile. You agree to provide truthful, current, and complete information during registration and to update your information if it changes. You are responsible for maintaining the confidentiality of any login credentials, and for all activities that occur under your account. If you suspect unauthorized use of your account or a security breach, you must notify us immediately. We are not liable for any loss or damage arising from your failure to secure your account.

Permitted Uses: You are granted a limited, revocable, non-transferable license to access and use our website and services for their intended purposes – for example, learning about our events, registering for events, networking with other attendees, or related professional development activities. All use must be in accordance with these Terms and applicable laws.

Prohibited Uses: You agree NOT to:

  • Violate Laws or Rights: Do not use our site or events to violate any law, regulation, or infringe others’ rights (including intellectual property rights and rights of privacy/publicity).
  • Abusive Behavior: Do not upload, share, or transmit any content that is unlawful, defamatory, harassing, abusive, threatening, hateful, or otherwise objectionable. This includes any conduct that is discriminatory or that could create an unsafe or hostile environment for other attendees or users.
  • Misuse the Site: Do not attempt to interfere with the proper operation of our website or any related systems. This includes prohibitions on introducing viruses or malicious code, scraping or data-mining our content without permission, attempting to bypass any security measures, or engaging in any activity that imposes an unreasonable burden on our infrastructure.
  • Impersonation and Misrepresentation: Do not impersonate any person or entity or falsely state or misrepresent yourself (including using another person’s identity or pretending to represent our Company without authorization).
  • Unauthorized Commercial Activity: Our site and events are for personal and professional networking use. You may not use them for unauthorized commercial purposes, such as promoting third-party products/services not related to our events, without our written consent. Unsolicited advertising or “spam” directed at our attendees or on our platform is prohibited.
  • Content Restrictions: Do not post or transmit any content that you do not have the rights to share, or any content that violates the intellectual property or proprietary rights of others. (See the Copyrights Policy for more details on user content.)

We reserve the right to investigate and take appropriate action for any suspected violations of these rules or any other part of these Terms. This may include removing content, suspending or terminating accounts, ejecting individuals from events, and/or reporting to law enforcement if applicable.

2. Event Registration and Tickets

Registration and Payment: When you register for a Black Wealth Events program or purchase a ticket, you agree to provide accurate information and pay all applicable fees. Ticket prices and terms of sale will be as listed on our website or registration page. Payments are processed through our secure third-party payment provider (such as Stripe). You must provide valid payment information, and by doing so you authorize us to charge the listed fees to your payment method. All purchases are subject to our Refunds & Cancellations Policy (generally, all sales are final and non-refundable unless otherwise stated).

Confirmation: Once your order is completed and payment is verified, we will send you a confirmation (usually via email) with details about your event registration or ticket. It is your responsibility to ensure the email address you provide is correct and to check your inbox (and spam folder) for the confirmation. If you do not receive a confirmation within a reasonable time, please contact us.

Ticket Transfer: Event registrations and tickets are personal to you and intended for the named attendee only. Unless explicitly allowed by the event terms, you may not transfer, resell, or gift your ticket/registration to another person without our prior written approval. (If you are unable to attend and wish to request a transfer to someone else, please contact us in advance; while we generally enforce a no-transfer policy to prevent fraud and scalping, we may assist in extenuating circumstances at our discretion.) Tickets obtained from unauthorized sources (such as third-party resellers not approved by us) may be void, and we are not responsible for fraudulent tickets.

Admission: For in-person events, you may be required to present a valid government-issued photo ID matching the name on the ticket or registration to gain entry. We reserve the right to deny entry to any attendee who cannot provide proof of registration or who fails to comply with venue requirements (for example, security screenings or age restrictions for certain venues). Late arrivals may be subject to delayed entry or seating at appropriate intervals, as directed by event staff.

Code of Conduct at Events: We strive to create a positive, safe, and inclusive environment at our events. By attending an event, you agree to:

  • Behave in a respectful and professional manner toward all participants, including attendees, speakers, staff, and venue personnel. Harassment, discrimination, or abusive behavior of any kind will not be tolerated.
  • Follow all rules announced by Black Wealth Events and any instructions given by event staff or venue staff. This includes adhering to any safety protocols, security measures, or facility rules (e.g., no smoking in non-designated areas, respecting closed-off areas, etc.).
  • Not engage in disruptive behavior that interferes with the event or the enjoyment of other participants. Examples of disruption include excessive noise during presentations, aggression or intimidation, and any form of stalking or unwelcome attention.
  • Abide by all applicable laws, including those related to alcohol (if served, only 21+ may consume), substance use, and public safety. Illegal drugs are prohibited at our event venues.
  • Consequence of Violation: Black Wealth Events reserves the right to refuse admittance to, or remove from the event (without refund), any person who violates this Code of Conduct or whom we determine poses a risk to the safety or enjoyment of others. If you are removed for misconduct, you may also be banned from attending future events at our discretion.

Event Changes: Our events are planned in advance, but sometimes changes occur. Black Wealth Events reserves the right to make modifications to event agendas, schedules, venue locations, speakers, or workshops as necessary. We will endeavor to inform registered attendees of any significant changes via the contact information provided at registration (for example, an email update if a venue changes or a keynote speaker is replaced). Such changes do not entitle attendees to a refund, as long as the event is still provided with comparable value.

Event Cancellations or Postponements: In rare cases, we may need to cancel or reschedule an event (for example, due to unforeseen circumstances like extreme weather, venue issues, or other situations beyond our control).

  • If an event is postponed or rescheduled, your registration or ticket will typically be honored for the new date. We will notify you of the new details, and if you cannot attend the rescheduled event, please contact us – while we maintain a no-refund policy, we may consider alternatives like credit toward a future event, at our sole discretion.
  • If an event is cancelled and not rescheduled, we will notify you as soon as possible. Depending on the circumstances, we may offer you an option such as credit toward a future event or a refund in accordance with our Refunds & Cancellations Policy. Our liability in such cases is limited (see Section 5 on Liability below).

3. Intellectual Property & Content Use

All content and materials provided through our website and events are the property of Black Wealth Events or our licensors, unless otherwise indicated. This includes but is not limited to text, graphics, logos, images, videos, slide decks, workshop materials, website design, and the compilation of these materials (“Content”). The Content is protected by copyright, trademark, and other intellectual property laws.

Our Intellectual Property:

  • Copyright: All original content produced by Black Wealth Events is © Black Wealth Events (or © the respective creator, used with permission) and all rights are reserved. You may not reproduce, distribute, modify, create derivative works of, publicly display, or publicly perform our Content without express written permission from us or the appropriate rights holder, except as allowed by law (such as brief excerpts under fair use for commentary or news reporting). For example, you may not copy and post our event curriculum or video recordings for others to use.
  • Trademarks: “Black Wealth Events” and our associated logos, slogans, and event names are trademarks/service marks owned by us. You are not permitted to use our trademarks without our prior written consent. All other trademarks appearing in our services (for example, the name of a sponsor or partner) are the property of their respective owners. Reference to any third-party trademarks on our site or events is for informational purposes only and does not imply endorsement or affiliation.

Limited Personal Use License: We generally allow attendees and users to access our Content for their own personal, non-commercial use. For instance, you may download or print materials that we explicitly make available for download (like an event schedule or a whitepaper) and take personal notes during an event. However, this limited license does not transfer any ownership or grant permission to exploit the Content beyond personal use. Any unauthorized use of our Content may violate copyright, trademark, and other laws.

User-Generated Content: If our website or event platforms enable you to submit or share content (for example, posting comments, uploading a profile photo, participating in discussion forums, or providing testimonials/feedback), the following terms apply:

  • Your Responsibility: You retain ownership of any original content you create and submit (“User Content”), but you grant us a license to use it as described below. You are solely responsible for the User Content you provide. Ensure that you have the necessary rights to share any content (including obtaining permission or attribution if the content is not entirely your own). Do not upload anything that violates others’ rights or these Terms (see “Prohibited Uses” above).
  • License to Black Wealth Events: By submitting User Content on our site or at our event platforms, you grant Black Wealth Events a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, modify (for formatting or presentation), display, distribute, and create derivative works from your User Content in connection with our operations and services. For example, if you post a success story or a testimonial on a forum we host, we may quote it (with attribution to you) in our promotional materials. If you share a question or comment publicly, we might retain it to help improve our FAQs or future content. We will not sell your user-generated content to third parties, but this license allows us to use your contributions to benefit the community and our services.
  • Moderation: We reserve the right (but have no obligation) to review, screen, or remove User Content at our discretion. We may remove content that, in our judgment, violates these Terms or is otherwise objectionable. However, the posting of any User Content by others is not an endorsement by Black Wealth Events, and we do not guarantee the truthfulness or quality of any User Content. Use caution and common sense when reading content posted by other users.

Recording and Photography: By participating in our events (whether in-person or virtual), you acknowledge and agree that Black Wealth Events and its authorized representatives may record audio, video, and/or take photographs during the event. These recordings and photographs may capture your image, likeness, or voice if you are in areas where recording is taking place. By attending, you give consent to be photographed or recorded. Black Wealth Events (and our affiliates or partners) may use these photographs and recordings for legitimate business purposes, including promotional materials, event recaps on our website, social media posts, or future marketing. Such use will be without compensation to you. If you have a serious concern about being recorded (for example, due to safety or privacy), please contact us before the event to discuss any possible accommodations – while we cannot guarantee to omit any particular individual from event media, we will try to address reasonable requests.

No Recording by Attendees: To protect the intellectual property of speakers and the privacy of participants, attendees generally may not record (audio or video) or take photographs of event sessions beyond quick personal snapshots, unless explicitly permitted. For instance, you may take a photo of a presentation slide for your own reference, but live-streaming a talk or reproducing significant portions of a workshop without permission is prohibited. If you’re unsure, please ask event staff for guidance. We may allow recording in certain contexts (e.g., accredited press or designated official photographers), but that will be coordinated ahead of time. Unauthorized recordings may result in your removal from the event and potential legal action if intellectual property rights are infringed.

4. Disclaimers

No Warranty: Our website, events, and all related services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Black Wealth Events disclaims all warranties, express or implied, in connection with the services and your use of them. This includes but is not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties that may arise from course of dealing or course of performance. We do not guarantee that: (a) the website or event services will meet your specific requirements or expectations; (b) access will be uninterrupted, timely, secure, or error-free; or (c) the information presented (whether on the site or at the event) is complete, accurate, or useful for your particular circumstances. Any reliance on the material provided is at your own risk.

Informational Purposes: The content of our events (such as speaker presentations, workshops, or materials) and any articles or resources on our website are for informational and educational purposes only. While we strive to bring valuable professional development content, no business, financial, or legal decisions should be made solely based on what you learn from our events or site content. Always exercise your own judgment and, if needed, consult a professional advisor for guidance tailored to your situation. Black Wealth Events does not assume any responsibility for actions you take based on information gained through our services.

Third-Party Content and Links: Our website and event materials may include links to third-party websites or display content provided by third parties (for example, an agenda might list a sponsor’s website, or a blog post might link to an external resource). These links and content are provided for convenience or reference only. We do not control or endorse third-party sites or content, and we make no warranties or representations regarding them. If you follow a third-party link, you do so at your own risk, and that third party’s terms and privacy policy will apply to you. Black Wealth Events is not responsible for the accuracy, legality, or decency of material on third-party sites, nor for any losses or damages that may arise from your use of them. We encourage you to review any third-party website’s own terms and policies before using their services.

Technology and Availability: While we work hard to ensure our website and event technologies run smoothly, issues may occur. Black Wealth Events does not warrant that our site, apps, or event virtual platforms will be uninterrupted or free of errors, viruses, or other harmful components. Scheduled maintenance or unforeseen downtime may make the site inaccessible at times. We will attempt to schedule maintenance during off-peak hours and provide notice when feasible. However, we are not liable for any inconvenience or loss arising from technical difficulties or outages.

5. Limitation of Liability

To the fullest extent permitted by applicable law, Black Wealth Events and its owners, officers, employees, agents, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or exemplary damages that result from your use of (or inability to use) our website, attendance at our events, or any of our services. This includes, but is not limited to, damages for lost profits, lost opportunities, business interruption, goodwill, data loss, or other intangible losses, even if we have been advised of the possibility of such damages.

Maximum Liability: In any case, our total cumulative liability to you for any claims arising out of or relating to these Terms or the use of our services (whether in contract, tort, or otherwise) is limited to the total amount of fees you paid to us for the specific event or service that is the subject of the claim (or $100 USD if the claim does not relate to a paid event or service). For example, if you paid $50 for a ticket to an event and have a claim related to that event, our maximum liability would be $50. Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.

Specific Application to Events: You assume all risks associated with participation in any of our events. Black Wealth Events shall not be responsible for personal injury, illness, property damage, theft, or other losses that occur at our events or during travel to/from our events, except to the extent caused directly by our gross negligence or willful misconduct. For instance, we are not liable if you trip and injure yourself due to your own negligence, or if your personal items are lost or stolen during an event. We strongly encourage attendees to keep track of their belongings and exercise common safety precautions. Any venue-specific liability limitations or waivers (such as requiring you to sign a release for a high-risk activity) will be communicated as needed.

Third-Party Liability: Black Wealth Events is not liable for the acts or omissions of third parties, including venues, service providers, sponsors, or other attendees. For example, if a venue’s power failure disrupts an event, or if another attendee causes damage or harm, those situations are beyond our control and are not the responsibility of Black Wealth Events (though we will do our best to help resolve any issues that arise).

Release: You agree that you release and discharge Black Wealth Events from any and all claims, demands, and damages of every kind and nature (known and unknown) arising out of or in any way connected with the above-described disputes or your use of the website or attendance at events. If you are a California resident, you waive the provisions of California Civil Code §1542, which says a general release does not extend to claims the creditor does not know about at the time of executing the release.

Basis of the Bargain: You acknowledge and understand that the disclaimers, indemnification, and limitations of liability in these Terms are a fundamental part of the agreement between you and Black Wealth Events. We would not be able to provide our services on an economically feasible basis without such limitations.

6. Indemnification

You agree to indemnify, defend, and hold harmless Black Wealth Events and its affiliates, partners, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the website or services in violation of these Terms; (b) your breach of any provision of these Terms or any representation/warranty you provide herein; (c) your violation of any law or regulation or the rights of any third party in connection with your use of our services; or (d) any User Content you submit or actions you take during an event that cause harm to any person or entity.

We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (at your expense), and you agree to cooperate as fully as reasonably required in our defense of any claim. You will not settle any claim that affects Black Wealth Events without our prior written approval.

7. Governing Law and Dispute Resolution

These Terms and any dispute arising from your use of our services are governed by and construed in accordance with the laws of the State of Pennsylvania and the federal laws of the United States, without regard to its conflict of law principles. You agree that any disputes or claims arising out of or in connection with these Terms or our services will be subject to the exclusive jurisdiction of the state or federal courts located in [Philadelphia, Pennsylvania], and you consent to personal jurisdiction and venue in such courts. (If Black Wealth Events is headquartered in a different state, we reserve the right to designate that jurisdiction instead in an updated version of these Terms.)

Dispute Resolution Efforts: We truly value our attendees and users, and we want to address your concerns. Before filing any legal claim, we ask that you first contact us to try to resolve the matter informally. Many issues can be resolved quickly through our support channels. If we are unable to resolve a dispute informally, the following terms will apply.

Arbitration (if applicable): (Optional – include if the company prefers arbitration) At our sole discretion, we may require any dispute, claim, or controversy arising out of or relating to these Terms or the use of our services that cannot be resolved through good-faith negotiations to be settled by binding arbitration administered by [American Arbitration Association] under its Commercial Arbitration Rules. The place of arbitration would be [Philadelphia, PA], and the arbitration shall be conducted in English before a single arbitrator. Each party will bear its own costs and attorneys’ fees, unless the arbitrator rules otherwise in accordance with the applicable law. The decision of the arbitrator shall be final and may be entered as a judgment in any court of competent jurisdiction. By agreeing to arbitration, you understand that you are waiving your right to a jury trial and other court proceedings.

(If arbitration is not desired, this section can be omitted or modified. Even with arbitration, typically allow small claims court or injunctive relief in court for IP violations.)

Exception – Small Claims and Equitable Relief: Notwithstanding the foregoing arbitration clause, either party may bring an individual action in small claims court for disputes within that court’s jurisdiction. Moreover, either party may seek injunctive or equitable relief in a court of law to protect intellectual property rights or to prevent unauthorized use or abuse of the services (for example, stopping someone from copying our content in violation of copyright).

8. Additional Provisions

Changes to Terms: Black Wealth Events may update or modify these Terms from time to time. When we do, we will post the revised Terms on our website with a new “Effective Date”. If changes are material, we will make reasonable efforts to notify users (for example, via email or a prominent notice on our site). Your continued use of the website or attendance at events after updated Terms take effect constitutes acceptance of the changes. It is your responsibility to review these Terms periodically. If you do not agree to the revised Terms, you must stop using our services.

Entire Agreement: These Terms (together with any additional policies referenced herein or provided at the time of purchase, such as the Privacy Policy, Cookie & Data Policy, Refunds & Cancellations Policy, and any event-specific rules) constitute the entire agreement between you and Black Wealth Events regarding your use of our site and services. They supersede any prior agreements or communications (whether oral or written) between you and us related to the subject matter.

Severability: If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions of the Terms shall remain in full force and effect. Our failure to enforce any right or provision in these Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.

Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. Black Wealth Events may assign its rights and obligations to an affiliate or in connection with a merger, acquisition, sale of assets, or by operation of law. These Terms will inure to the benefit of and be binding upon each party’s permitted successors and assigns.

No Agency: No joint venture, partnership, employment, or agency relationship is created between you and Black Wealth Events as a result of these Terms or your use of the services. You do not have any authority to bind the Company in any respect.

Headings: The section headings in these Terms are for convenience only and have no legal or contractual effect.
